1. About These Terms

These Terms govern your use of the Universe Club platform ("Service"), operated by Universe Club L.L.C-FZ, registered in Meydan Free Zone, Dubai, U.A.E. By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

2. Who Can Use the Service

The Service is for professionals aged 18 and above. By registering, you confirm you are at least 18 years old and that the information you provide is accurate.

3. What We Provide

Universe Club is a private, AI-powered professional networking platform — not a public social network. We use artificial intelligence to suggest connections, facilitate introductions, and help you discover people and opportunities within your network. Your presence, profile, and interactions are visible only within your workspace, subject to your privacy settings. Features include private workspace communities, real-time messaging, and an AI assistant.

4. Your Account

You are responsible for keeping your login credentials secure and for all activity on your account. If you suspect unauthorised access, contact us immediately. We may suspend accounts that violate these Terms or contain false information.

5. AI-Powered Features

Our AI features — including match recommendations, connection suggestions, and the AI assistant — are tools to help you, not guarantees. AI outputs may be inaccurate or incomplete and do not constitute professional advice. All decisions about forming relationships, pursuing introductions, or acting on connections are yours alone and remain your sole responsibility.

When you use the assistant, in text or in voice, you are interacting with an AI system and not with a member of our team. The feature is labelled Universe AI wherever it appears.

With your consent, we may analyse your AI assistant conversations to improve match quality. You can withdraw that consent at any time from your settings, and we will stop and delete the insights we derived from it. Matchmaking itself is the service, so it cannot be switched off while your account remains active; you can close your account at any time.

6. Your Content

You own everything you post on the Service. By using the platform, you give us a licence to store, display, and process your content as needed to run the Service. This licence ends when you delete your content or account. We do not sell your content to third parties, and we will only access or review it where necessary to enforce these Terms or comply with legal obligations.

7. Rules of Conduct

Don't use the Service to:

• Harass, threaten, or defame others
• Impersonate someone else
• Send spam or unsolicited messages
• Scrape data or reverse-engineer the platform
• Upload malicious code or interfere with operations
• Do anything unlawful

8. Workspaces

Workspace managers ("SuperConnectors") who import contacts act as a data controller for the contact information they supply. By importing it, you confirm you have a lawful basis to share that information with us and that you can demonstrate it on request, and you agree to tell the people concerned that you have done so. You will indemnify us against claims arising from contact data you supplied without a lawful basis.

Imported contacts receive an invitation, and we will tell them separately what data we hold about them and how to have it removed. If they don't register within 90 days, their data is deleted.

9. Payments

Some features require a paid subscription. Prices are shown at checkout and are exclusive of applicable taxes. All fees are non-refundable except where required by applicable law or expressly stated at the time of purchase. Subscriptions renew automatically — we'll notify you before each renewal, and you can cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period.

If you are a consumer in the European Economic Area or the United Kingdom, you have a statutory right to withdraw from a distance contract within 14 days. Where you ask us to give you access to the Service immediately and acknowledge that you lose that right once we have done so, the withdrawal right ends at that point. Nothing in this section limits any refund right you have under mandatory consumer law.

10. Intellectual Property

The Service — its design, code, branding, and AI models — belongs to Universe Club L.L.C-FZ. You get a personal, non-transferable licence to use the platform while your account is active.

11. Disclaimers & Liability

The Service is provided "as is." We don't guarantee that it will always work perfectly, that AI recommendations will be accurate, or that connections made through the platform will lead to any particular outcome. Connections facilitated by Universe Club are introductions only — we are not responsible for the interactions, communications, or outcomes that arise between members, and you are solely responsible for how you engage with others on the platform.

To the extent allowed by law, our total liability is limited to the fees you've paid us in the past 12 months. We are not liable for the actions of other users or for indirect damages like lost profits.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law that applies to you, including liability for death or personal injury caused by negligence, or for fraud.

12. Termination

You can delete your account anytime from settings or by emailing us. We reserve the right to suspend or terminate accounts that violate these Terms or where we reasonably believe action is necessary to protect the integrity of the platform or the safety of its members. On deletion, your data is removed per our Privacy Policy.

13. Changes to These Terms

We may update these Terms or modify, limit, or discontinue features of the Service from time to time. For significant changes, we'll notify you at least 15 days in advance. Continuing to use the Service after changes take effect means you accept the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes will be resolved in the courts of Dubai, U.A.E.

If you are a consumer resident in the European Economic Area or the United Kingdom, this does not deprive you of the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country. We may only bring proceedings against you in the courts of the country where you live.
